Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Servogo platform ("Service") operated by Tobsoft Ltd (trading as Servogo) ("we", "us", "our"). By creating an account or using the Service you agree to these Terms. If you are agreeing on behalf of a business you represent that you have authority to bind that business.

1. The Service

Servogo is a field service management platform that helps businesses schedule technicians, manage client routes, generate invoices, and track service visits. We grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your internal business operations during your subscription period.

2. Accounts

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding contract. The Service is intended for businesses, not individual consumers.

2.2 Account security

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us immediately at support@servogo.co.uk if you suspect unauthorised access.

2.3 Accurate information

You must provide accurate, current, and complete information when creating your account and keep it up to date.

3. Subscriptions and Billing

3.1 Plans and fees

Subscriptions are billed in advance on a monthly or annual basis. Current pricing is displayed on our pricing page and may change with 30 days' notice.

3.2 Payment

Payments are processed by Stripe, Inc. By providing payment details you authorise us to charge the applicable fees. All fees are exclusive of VAT unless stated otherwise; applicable VAT will be added at checkout.

3.3 Seat-based billing

Team and Pro plans are priced per active team member. Adding members to your organisation will adjust your subscription quantity at the next billing cycle.

3.4 Free trial

Where we offer a free trial period, no charge is made until the trial ends. You may cancel before the trial ends to avoid being charged.

3.5 Refunds

We offer a 30-day money-back guarantee on your first subscription payment. After that, fees are non-refundable except where required by law. If we materially reduce the functionality of the Service we will offer a pro-rata refund for the unused period.

3.6 Failed payments

If a payment fails your account will enter a grace period. Continued failure will result in your account being restricted to read-only access until payment is resolved.

4. Acceptable Use

You may not use the Service to:

  • Violate any applicable law or regulation.
  • Upload, store, or transmit unlawful, harmful, or fraudulent content.
  • Attempt to gain unauthorised access to any part of the Service or its infrastructure.
  • Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service.
  • Resell or sub-licence access to the Service without our written consent.
  • Use the Service in a way that places unreasonable load on our infrastructure.

We reserve the right to suspend or terminate access for any violation of this section.

5. Your Data

5.1 Ownership

You retain all rights to the data you upload or create in the Service ("Customer Data"). We do not claim ownership of your Customer Data.

5.2 Licence to us

You grant us a limited licence to store, process, and transmit Customer Data solely as necessary to provide and improve the Service.

5.3 Data processing

Where we process personal data on your behalf (e.g. employee or client records) we act as a data processor and you act as the data controller. The Data Processing Terms in Section 16 apply and form our agreement under Article 28 of the UK GDPR. You are responsible for having a lawful basis to input personal data into the Service and for obtaining any necessary consents from your clients and staff.

5.4 Data export

You may export your Customer Data at any time via the Service's export features. On termination of your account we will make your data available for export for 30 days, after which it may be deleted in accordance with our retention policy.

6. Intellectual Property

The Service, including its software, design, and content (excluding Customer Data), is owned by Servogo and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights in the Service other than the limited licence described in Section 1.

7. Confidentiality

Each party agrees to keep the other's non-public information confidential and not to disclose it to third parties without consent, except as required by law or to deliver the Service. This obligation survives termination of these Terms for three years.

8. Warranties and Disclaimers

We provide the Service on an "as is" and "as available" basis. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or meet your specific requirements.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Servogo's aggregate liability to you for any claims arising out of or relating to these Terms or the Service is limited to the fees you paid in the 12 months preceding the claim.

Neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law.

10. Indemnification

You agree to indemnify and hold harmless Servogo and its officers, directors, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your violation of these Terms.

11. Termination

11.1 By you

You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. No partial-period refunds are given unless covered by Section 3.5.

11.2 By us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees after a grace period, or if we are required to do so by law. We may also discontinue the Service with 60 days' notice.

11.3 Effect of termination

On termination, your right to access the Service ceases. Sections 5, 6, 7, 9, 10, 13, 14, and 16 survive termination.

12. Changes to the Terms

We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice in the Service at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, except where mandatory consumer protection law in your country provides otherwise.

14. General

These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and Servogo regarding the Service and supersede all prior agreements. If any provision is found unenforceable it will be modified to the minimum extent necessary; remaining provisions continue in full force. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our written consent; we may assign them without restriction.

16. Data Processing Terms

This Section applies where we process personal data on your behalf and forms the data processing agreement between you (the controller) and Tobsoft Ltd (the processor) required by Article 28 of the UK GDPR. "Customer Personal Data" means personal data within your Customer Data that we process on your behalf. The terms "controller", "processor", "personal data", "data subject", "process", and "personal data breach" have the meanings given in UK data protection law.

16.1 Scope of processing

  • Subject matter and duration: our provision of the Service for the duration of your subscription, plus any post-termination export period.
  • Nature and purpose: hosting, storing, organising, and transmitting Customer Personal Data to schedule work, plan routes, record visits, generate invoices and quotes, and send related notifications.
  • Types of personal data: names, postal addresses, email addresses, phone numbers, job and visit records, and related notes you enter.
  • Categories of data subjects: your clients, your staff and technicians, and your billing contacts.

16.2 Our obligations as processor

We will:

  • process Customer Personal Data only on your documented instructions (including those in these Terms and through your use of the Service), unless required to do otherwise by law, in which case we will inform you unless legally prohibited;
  • ensure that personnel authorised to process Customer Personal Data are bound by appropriate confidentiality obligations;
  • implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk, as required by Article 32 (see the Security section of our Privacy Policy);
  • taking into account the nature of processing, assist you by appropriate measures in responding to requests from data subjects exercising their rights;
  • assist you in ensuring compliance with your obligations relating to security, breach notification, data protection impact assessments, and prior consultation, taking into account the information available to us;
  • at your choice, delete or return all Customer Personal Data after the end of the provision of the Service, and delete existing copies unless we are legally required to retain them (see our retention policy);
  • make available to you the information necessary to demonstrate compliance with Article 28, and allow for and contribute to audits, including inspections, conducted by you or an auditor you mandate, subject to reasonable notice and confidentiality.

16.3 Sub-processors

You give general authorisation for us to engage the sub-processors listed in the Data Sharing section of our Privacy Policy. We impose data protection obligations on each sub-processor that are no less protective than those in this Section, and we remain responsible for their performance. We will give you reasonable notice of any intended addition or replacement of a sub-processor, and you may object on reasonable data-protection grounds.

16.4 Personal data breach

We will notify you without undue delay after becoming aware of a personal data breach affecting Customer Personal Data, and provide the information reasonably available to us to help you meet your own notification obligations.

16.5 International transfers

Where Customer Personal Data is transferred outside the UK or EEA, we rely on UK adequacy regulations or appropriate safeguards such as the UK International Data Transfer Agreement or standard contractual clauses, as described in our Privacy Policy.

16.6 Your obligations

You warrant that you have a lawful basis to provide Customer Personal Data to us and to instruct the processing described in these Terms, and that you have given any required notices to, and obtained any required consents from, your clients and staff. Your instructions must not put us in breach of applicable data protection law.
